Location — Ukraine, Kyiv

Occupation — Full-time

Employee reports to: Group Legal Officer and Board

Requirements:

• Law degree from a top-tier Ukrainian or foreign university
• 5-8 years of experience in either: big law firms / legal boutiques / top-tier local or international companies;
• Experience in the IT sphere is a must, knowledge of gambling-related issues is a must-have; experience in cooperation with the Ukrainian Commission for Regulation of Gambling and Lotteries, obtaining gambling licenses.
• Experience in working with non-resident company`s registration/incorporation/ maintenance/tax optimization and tax planning, analysis of the legislation of various jurisdictions, negotiating with non-residents / foreign lawyers;
• experience in and successful dispute resolution in Ukrainian courts;
• strong knowledge of Ukrainian tax and corporate issues;
• Fluent in legal/business English;
• Advanced drafting skills;

Responsibilities:

• Providing legal support to a gambling project (“Project”) that will operate in Ukraine under the license issued by the Ukrainian Commission for Regulation of Gambling and Lotteries (i.e. license allowing organization and conduct of casino gambling games in Internet — online casino license) and all related issues: the incorporation of the company, ensuring the execution of transactions for fundraising, labor relations, tax planning, preparation of a package of documents for obtaining the online casino license (as described above), support the process of obtaining the online casino license, supporting the Project’s operations and monitoring compliance with online casino license conditions.
• Assess the risks of the Project’s business models, implement comprehensive and business-oriented solutions for risks mitigation;
• Implement legal compliance programs on all business/product/marketing aspects;
• Liaise with external partners, legal firms, and authorities in Ukraine to conduct in-depth legal research on various business risks;
• Procure that the legal team of the Project fulfills the following directions of the legal activities:
  — drafting, reviewing, and negotiating various agreements, including IT-related contracts (NDA, software license agreements, software development agreements, and related documents); investments;
  — monitoring and analyzing legislative developments and changes in the Project’s business areas and jurisdictions of the Project`s operation;
  — prepare and provide legal opinions, reports, memorandums, and analytics on different issues of international and Ukrainian corporate and tax legislation;
  — analysis and systematization of legislation of different jurisdictions;
  — monitor compliance with laws, regulations, and internal policies\ instructions;
  — legal research, constant monitoring of changes in legislation applicable to the company;
  — communicating with business partners, law firms, and service providers from a variety of jurisdictions;
  — communicating with Ukrainian authorities, notaries, and tax services;
  — cooperation with the Ukrainian Commission for Regulation of Gambling and Lotteries;
  — litigation and dispute resolution in Ukrainian courts.
