OMD Systems develops advanced autonomous drone technologies for defence and security applications. As we expand our operations in Ukraine and work closely with defence, government, and international partners, we are looking for a Legal Consultant to join our team in Kyiv and strengthen the legal foundation of our growing business.

This role is ideal for a legal professional who thrives in a fast-paced R&D and defence-tech environment, and who is comfortable handling diverse legal matters across commercial, regulatory, and operational areas.

Responsibilities

  • Provide day-to-day legal support to internal teams across commercial, corporate, regulatory, and operational matters.
  • Draft, review, and negotiate a wide range of contracts in Ukrainian and English, including:
    • NDAs, MSAs, SaaS and licensing agreements
    • supplier, manufacturing, and distribution contracts
    • R&D and technology transfer agreements
    • defence procurement and government contracts (including contracts with the Ministry of Defence of Ukraine, NAAU, and other state customers)
  • Advise on defence and dual-use goods regulation, including Ukrainian export control rules, SSEC procedures, and interaction with relevant authorities (Ministry of Strategic Industries, Ministry of Defence, SBU where applicable).
  • Support compliance with Ukrainian data protection law and GDPR, where relevant for international cooperation.
  • Conduct legal due diligence for partnerships, suppliers, investors, and strategic transactions.
  • Advise on intellectual property matters under Ukrainian and international law: protection strategy, patents, trademarks, trade secrets, and IP clauses in commercial agreements.
  • Support corporate governance: entity management, corporate resolutions, shareholder matters, and structuring of Ukrainian and cross-border entities.
  • Assist with employment and contractor matters under Ukrainian labour law, including agreements, policies, reservations (бронювання) of mobilised-age employees, and remote work arrangements.
  • Prepare legal memos, risk assessments, and internal guidelines.
  • Monitor relevant legislative and regulatory developments (defence, drones/UAVs, AI, export controls, martial-law-related regulations) and assess their impact on the business.
  • Work with external counsel on specialised matters and on cross-border issues (EU, UK, US).
  • Collaborate closely with engineering, product, commercial, and finance teams to embed legal best practices into daily operations.

Requirements

  • 3+ years of relevant legal experience in a law firm, in-house legal team, or consultancy in Ukraine.
  • Ukrainian legal qualification; advokat status or LL.M. is a plus.
  • Strong knowledge of contract law, commercial law, and corporate law of Ukraine, including practical experience with cross-border transactions.
  • Solid understanding of at least one of the following: defence procurement, export control / dual-use regulation, data protection, or IP law.
  • Excellent drafting and negotiation skills in Ukrainian and English.
  • Strong analytical mindset, attention to detail, and ability to translate complex legal concepts into clear business guidance.
  • Comfortable working independently, managing multiple priorities, and operating in a fast-moving R&D and product environment.
  • Fluent Ukrainian and English (working languages).

Nice to have:

  • experience working with defence, aerospace, drones/UAVs, or other regulated hardware industries
  • familiarity with Ukrainian defence procurement procedures, Prozorro / DOT-Chain Defence, and government tenders
  • experience with export control (Ukrainian rules and EU/US frameworks: Dual-Use Regulation, ITAR/EAR awareness)
  • background in technology, AI, or cybersecurity law
  • experience supporting startups or scale-ups through funding rounds and international expansion
  • understanding of martial-law-related regulations affecting defence-tech companies in Ukraine
