We’re seeking an experienced Chief Legal Officer to take charge of the company’s legal department and ensure corporate law is being followed

Responsibilities

• Management and, wherever necessary, the establishment of Legal functions to ensure comprehensive legal support of the group of businesses;
• Structuring businesses at an international level in close cooperation with the CFO;
• Search, effective engagement and management of external counsel — experts in specific business domains and/or markets of business interest, where required;
• Continuous monitoring and traction of changes legislation related to IT industry in general and related to our business specifics in particular;
• Legal research and conclusions regarding international tax optimization issues: corporate, dividends taxation, exemptions for IP rights (IP box if available), personal income tax rates and company deductions for employees, BEPS risks analysis and substance requirements compliance in the specific jurisdictions, controlled foreign company
• Development of various regulatory documentation for business;
• Legal support of cooperation with various financial institutions when implementing financial instruments for business;
• Communicating effectively with customers and public authorities;
• Managing any pre-litigation and litigation related to this activity, if required.

Requirements

• Law degree
• General legal practice experience — 10+ years
• Work experience in an international environment (preferably in an international company), either related practice in a law firm or in-house in an IT company — 5+ years
• Business structuring, M&A experience
• Experience in structuring and tax planning within different jurisdictions (Europe, the USA, etc.)
• Experience in evaluating potential investment projects from the legal side
• Knowledge of “English law” basics
• English — fluent
• Location — preferably in the Western Europe or ready to relocate
• Higher education
• Project management skills
• Results-oriented with a strong focus on strategic business goals
• Ability to make decisions fast
• Ability to switch between tasks depending on business priority
