DoD Solution is an Estonian-Ukrainian Defence Tech company developing AURA AI — an AI-powered autonomy platform for unmanned systems operating in contested environments. Our technology combines edge AI computing, computer vision & machine learning, visual navigation, target recognition, and autonomous mission execution for UAVs, UGVs, and other autonomous systems.

As we scale internationally and prepare for future investment rounds, we are looking for an experienced Legal Counsel to help build a strong legal foundation for the company, protect our intellectual property, and support fundraising and international expansion.

Role Overview

The Legal Counsel will be responsible for establishing and maintaining DoD Solution’s legal framework across Estonia, Ukraine, the EU, and the United States. The role will focus on intellectual property protection, corporate structuring, investment readiness, licensing, patents, and commercial agreements.

Key Responsibilities

• Develop and execute DoD Solution’s global IP protection strategy.
  • Structure and manage intellectual property ownership between Estonian and Ukrainian entities.
  • Coordinate patent searches, drafting, filing, and portfolio management.
  • Support Pre-Seed, Seed, and future fundraising rounds.
  • Draft and negotiate SAFE agreements, convertible notes, shareholder agreements, investment agreements, and subscription agreements.
  • Advise founders on venture capital terms, investor rights, dilution, and governance.
  • Draft and negotiate NDAs, licensing agreements, manufacturing agreements, distribution agreements, and strategic partnerships.
  • Design and optimize the legal structure between Estonian and Ukrainian entities.
  • Monitor legal and regulatory requirements relevant to defence technologies.
  • Coordinate with external legal advisors, patent attorneys, and compliance specialists.

Required Qualifications

• Law degree from a recognized university.
  • 5+ years of legal experience in corporate, venture capital, technology, intellectual property, or international business law.
  • Strong knowledge of Estonian, Ukrainian, EU, and US investment and corporate law.
  • Experience supporting venture-backed startups and fundraising transactions.
  • Practical experience with patent filing processes and IP portfolio management.
  • Excellent written and spoken English.

Nice to Have

• Experience in Defence Tech, Aerospace, Robotics, AI, Deep Tech, or Semiconductor industries.
  • Network of patent attorneys in Europe and the United States.
  • Experience with international licensing and technology transfer.
  • Understanding of export controls, defence regulations, and dual-use technologies.
